Terms of Service

These Terms of Service ("Terms") govern your access to and use of Margawise (margawise.com) operated by Margawise ("we", "us", "our"). By creating an account or using the Service, you agree to these Terms.

If you do not agree, do not use the Service.

1. The Service

Margawise is an AI-powered platform that helps founders validate startup ideas through structured customer discovery, problem prioritization, market analysis, assumption testing, interview generation, surveys, experiments, and decision frameworks.

2. Eligibility

You must be at least 18 years old and capable of entering into a binding contract under applicable law to use Margawise. By using the Service, you represent that you meet these requirements.

3. Account

You are responsible for:

• Providing accurate registration information
• Maintaining the security of your account credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorized access at support@margawise.com

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Plans and payment

Margawise offers free and paid plans. Paid plan terms (price, features, limits) are described on the pricing page (margawise.com/pricing).

Billing: Paid plans are billed monthly or annually as selected at checkout. Charges are non-refundable except as required by law.

Plan changes: You may upgrade, downgrade, or cancel at any time. Downgrades and cancellations take effect at the end of the current billing period.

Taxes: Prices are exclusive of applicable taxes (GST in India, VAT/equivalent elsewhere). You are responsible for any taxes due on your use of the Service.

Failed payments: If a payment fails, we may suspend or downgrade your account until the issue is resolved.

5. Acceptable use

You agree NOT to:

• Use the Service for any unlawful purpose
• Upload content that infringes intellectual property, violates privacy, or contains illegal material
• Attempt to reverse engineer, decompile, or extract source code
• Bypass quota limits, rate limits, or access restrictions
• Use the Service to train competing AI models or extract our prompts and outputs at scale
• Resell, sublicense, or redistribute the Service without written permission
• Probe, scan, or test the vulnerability of our infrastructure
• Use automated means (bots, scrapers) to access the Service except via documented APIs
• Impersonate others or misrepresent your affiliation

We reserve the right to investigate and suspend or terminate access for violations.

6. Your content

You retain all rights to the content you create on Margawise (your "Content"), including ideas, personas, problems, market analyses, interview transcripts, etc.

By using the Service, you grant us a limited, non-exclusive license to:

• Store, display, and process your Content to provide the Service
• Send your Content to AI providers (Section 4 of the Privacy Policy) to generate AI outputs
• Use anonymized, aggregated data for analytics and Service improvement

We do not claim ownership of your Content. We do not sell your Content.

7. AI-generated outputs

Margawise generates outputs using third-party AI models. AI outputs are:

• Provided "as is" without warranty of accuracy, completeness, or fitness for any purpose
• Generated based on probabilistic models that can produce errors, hallucinations, or biased content
• Not professional advice (legal, financial, medical, or otherwise)

You are solely responsible for evaluating and verifying AI outputs before relying on them. Decisions you make based on AI outputs are your responsibility.

You may use AI outputs generated for your projects in any lawful manner. We do not claim ownership of AI outputs generated for your account.

8. Service availability

We aim to provide reliable service but do not guarantee uptime. The Service may be unavailable due to maintenance, updates, third-party outages, or events beyond our control.

We may modify, suspend, or discontinue features at any time. Material changes affecting paid plans will be communicated at least 14 days in advance where reasonably possible.

9. Termination

You may terminate your account at any time by contacting support@margawise.com or via in-app account deletion (when available).

We may terminate or suspend your account for:

• Violation of these Terms
• Non-payment of fees
• Conduct that risks legal liability or harm to us or other users
• Extended inactivity (with 30 days' notice)

Upon termination, your access ends immediately. We will delete or anonymize your data per Section 6 of the Privacy Policy.

10. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.

We do not warrant that the Service will be uninterrupted, error-free, or secure, or that AI outputs will be accurate or useful.

11. Limitation of liability

To the maximum extent permitted by law, in no event will Margawise, its partners, employees, or agents be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages exceeding the greater of (a) the fees you paid us in the 12 months preceding the claim, or (b) ₹10,000

This limitation applies regardless of the legal theory of the claim and even if we have been advised of the possibility of such damages.

12. Indemnification

You agree to indemnify and hold harmless Margawise, its partners, employees, and agents from claims arising out of:

• Your use of the Service
• Your Content
• Your violation of these Terms
• Your violation of any third-party right, including intellectual property or privacy

13. Intellectual property

Margawise, its branding, design, code, and the underlying technology are owned by Margawise and protected by copyright, trademark, and other laws. You are granted a limited, non-exclusive, non-transferable license to use the Service per these Terms.

You may not use our trademarks, logos, or branding without prior written permission.

14. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified via email or in-app notification at least 14 days before they take effect.

Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

15. Governing law and disputes

These Terms are governed by the laws of India. Any dispute arising from or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the courts of Bengaluru, Karnataka.

Before initiating legal action, the parties agree to attempt good-faith resolution by contacting support@margawise.com.

16. Miscellaneous

• Entire agreement: These Terms and the Privacy Policy constitute the entire agreement between you and us.
• Severability: If any provision is held unenforceable, the remaining provisions remain in effect.
• No waiver: Our failure to enforce any right is not a waiver of that right.
• Assignment: You may not assign these Terms. We may assign them in connection with a merger, acquisition, or asset sale.
